​Freelance Model Contract Terms

This agreement is designed to clarify the rights and obligations of both parties and to establish an environment where activities can be carried out with confidence.

Please review the following contract carefully, and if you agree to its terms, kindly provide your signature.

The contract will be formally concluded upon signing, so please ensure you fully understand the content before signing.

*This contract is legally binding through the use of electronic signatures.

Non-Exclusive Management Agreement

This agreement (hereinafter referred to as “this Agreement”) is entered into between the Model (hereinafter referred to as “Party A”) and the Agency (hereinafter referred to as “Party B”) as follows:


Article 1 (Purpose of the Agreement)

Party B shall introduce and mediate work opportunities for Party A, and Party A shall perform the work provided by Party B in accordance with this Agreement, with the aim of pursuing mutual benefits for both parties.

 

Article 2 (Scope of Services)

Party A shall perform the following services as provided by Party B:

    1.Performance Work: Appearances in television, radio, photo shoots, advertisements, events, etc.

    2.Recording Work: Filming, photography, and audio recording activities.

    3.Advertising Work: Participation in advertising, promotion, and campaigns for companies or products.

    4.Other Work: Any additional activities as specified by Party B for individual projects.

 

Article 3 (Responsibilities of Party B)

Party B shall perform the following responsibilities:

    1.Work Mediation and Introduction: Introduce and mediate work opportunities from clients to Party A.

    2.Contract and Condition Negotiation: Negotiate contract terms and fees for Party A’s work.

    3.Document Preparation: Create composite profiles and other necessary materials for projects.

    4.Client Management: Communicate and coordinate with clients regarding work-related matters.

    5.Fee Management: Manage payments received from clients and transfer the agreed-upon fee to Party A.

 

Article 4 (Responsibilities of Party A)

Party A shall adhere to the following obligations:

    1.Diligence in Work Performance: Perform work sincerely and refrain from cancellations without legitimate reasons.

    2.Compliance with Competitive Restrictions: Abide by the client’s competition restrictions and refrain from engaging in conflicting projects.

    3.Professional Conduct: Maintain decorum as a professional, avoiding actions that could harm the reputation of Party B or the client.

4.Confidentiality: Do not disclose or publish work-related information to third parties or on social media without prior consent from Party B.

    5.Cancellation Restrictions: Avoid cancellations after accepting a project without Party B’s approval.

    6.Acknowledgment of Specific Conditions: Understand that the following circumstances may result in project termination:

    •For female models, pregnancy during the contract period that renders the project incompatible with its content (e.g., alcohol advertisements).

    •Engagement in activities (e.g., appearances in R18-rated or adult videos) that are deemed incompatible with the client or product’s image.

    7.Prohibited Activities at Auditions or Shooting Locations:

    •Do not take unauthorized photos or recordings using cameras, smartphones, or other devices.

    •Do not post any work-related information on social media or blogs without prior approval from Party B.

    8.Compensation for Damages: Compensate Party B for any damages incurred as a result of violations of the above obligations.

 

Article 5 (Fees and Payment)

    1.Fee Amount: Party B shall present the fee amount for each project, which Party A shall agree upon before undertaking the work.

    2.Payment Terms: Payment shall be made to Party A’s designated account by the end of the second month following the month of the work. Transaction fees shall be borne by Party B.

    3.Payment Delays: If payment from the client is delayed, Party B reserves the right to delay payment to Party A accordingly.

    4.Reimbursement of Expenses: Reimbursement for travel expenses or other costs pre-approved by Party B shall be processed upon submission of receipts. Lost receipts will not be reimbursed.

 

Article 6 (Restrictions)

    1.Product Restrictions: Party A shall not appear in advertisements for competing products during the same period.

    2.Corporate Restrictions: Party A shall not engage in advertisements or campaigns for other companies deemed competitors by the client.

    3.Violation of Restrictions: Violations of restrictions by Party A will result in penalties imposed by the client or Party B.

Article 7 (Contract Period and Renewal)

    1.The validity of this Agreement shall be one year from the date of signing.

    2.The Agreement shall automatically renew under the same conditions unless either party expresses intent to terminate prior to the expiration date.

    3.Rights and obligations arising from this Agreement shall remain valid even after termination until all outstanding matters are resolved.

 

Article 8 (Confidentiality)

    1.Party A and Party B shall not disclose or leak any confidential information obtained under this Agreement to third parties.

    2.Confidential information includes, but is not limited to, project details, client information, and fee amounts.

 

Article 9 (Termination of the Agreement)

Either party may terminate this Agreement in the following cases:

    1.Material breach of contract terms.

    2.Unexcused cancellations of projects by Party A.

    3.Significant negligence of duties by Party B.

 

Article 10 (Ownership of Proceeds)

    1.Any contracts entered into with third parties concerning Party A’s activities under this Agreement shall be executed under Party B’s name. The proceeds from such contracts shall belong to Party B.

    2.This provision shall remain valid after the termination of this Agreement until all payments and fees owed to Party A are settled.

 

Additional Notes (1ST Keep, 2ND Keep, NG Response)

Party B, upon the occurrence of a project, shall request work from Party A through written means (including email, LINE, SNS, etc.) or other appropriate communication methods.

    1.1ST Keep: Indicates that Party A is fully available on the specified day and must accept the work if selected.

    2.2ND Keep: Indicates that Party A’s schedule is tentative but can be adjusted.

    3.NG: Indicates that Party A is unavailable or declines the work. No response will be considered as NG.

 

Example:

If Party A confirms as 1ST Keep and is selected, cancellation is not permitted, and attendance at the shoot is mandatory.

    •If Party A fails to attend or is late, Party A shall bear the penalty imposed by the client.

    •If Party B’s negligence causes project disruption or cancellation, Party B shall bear the penalty.

 

Definitions:

    •Product Restrictions: Restrictions on appearing in advertisements for similar products (e.g., different shampoo brands).

    •Corporate Restrictions: Restrictions on appearing in any advertisements by competing companies, including unrelated products.

To confirm the execution of this Agreement, the terms of this Agreement are presented on the website, and the Agreement shall be executed when Party A reviews its contents, provides an electronic signature, and clicks the consent button. By doing so, Party A shall be deemed to have agreed to all provisions of this Agreement. Furthermore, records of the execution (such as the date and time of consent, IP address, and signature information) shall be appropriately maintained by Party B.
